'Shareholders' Remedies in Germany and Hong Kong. Legal Doctrine. Law and Economics. Comparative Law': Shareholder litigation constitutes a core area of corporate law. Despite extensive literature focused on Germany, academic discussion remains largely national in scope; the common law of Hong Kong, in particular, has received little attention. This study addresses this gap by examining functional equivalents in the areas of directors' liability, challenges to shareholder resolutions, and collective redress. These remedies are considered within a broader sociological, economic, and historical context.
